1. Introduction
These Terms and Conditions (“Terms”) govern the supply of goods and/or services by Supplier Group Ltd (“Company”, “we”, “us”, or “our”) to any customer (“Customer”, “you”, or “your”). By placing an order with us, you agree to be bound by these Terms.
2. Orders
2.1 All orders placed by the Customer are subject to acceptance by the Company. 2.2 The Company reserves the right to refuse or cancel any order at its discretion. 2.3 Orders may not be amended or cancelled after acceptance without the Company’s written consent.
3. Pricing and Payment
3.1 All prices are exclusive of VAT unless otherwise stated. 3.2 Payment terms are [e.g., 30 days from invoice date] unless otherwise agreed in writing. 3.3 Late payments may incur interest at a rate of [X]% per annum above the Bank of England base rate. 3.4 The Company reserves the right to suspend deliveries if payment is overdue.
4. Delivery
4.1 Delivery dates are estimates only and not guaranteed. 4.2 The Company shall not be liable for delays caused by circumstances beyond its control. 4.3 Risk in the goods passes to the Customer upon delivery.
5. Title
5.1 Ownership of goods shall not pass to the Customer until full payment has been received. 5.2 Until ownership passes, the Customer must store goods separately and maintain them in good condition.
6. Inspection and Acceptance
6.1 The Customer must inspect goods upon delivery. 6.2 Any defects or shortages must be reported within [e.g., 7 days]. 6.3 Failure to notify within this period constitutes acceptance of the goods.
7. Returns and Refunds
7.1 Returns will only be accepted with prior written approval. 7.2 Goods must be returned in original condition at the Customer’s expense unless faulty. 7.3 Refunds or replacements are at the Company’s discretion.
8. Warranty
8.1 The Company warrants that goods will conform to their description at the time of delivery. 8.2 No other warranties, express or implied, are given to the extent permitted by law.
9. Limitation of Liability
9.1 The Company shall not be liable for indirect or consequential losses. 9.2 The Company’s total liability shall not exceed the value of the goods or services supplied. 9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence.
10. Force Majeure
The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, or supply chain disruptions.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of business.
12. Intellectual Property
All intellectual property rights in goods, designs, and materials remain the property of the Company unless otherwise agreed in writing.
13. Termination
The Company may terminate any contract immediately if the Customer breaches these Terms or becomes insolvent.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
15. General
15.1 These Terms constitute the entire agreement between the parties. 15.2 Any variation must be agreed in writing. 15.3 If any provision is held invalid, the remaining provisions shall remain in force.
